I have practiced law in Birmingham and Mobile for over 30 years, and have practiced with the Kullman Law Firm since 2007. My practice has been and continues to be primarily limited to the areas of taxation, estate and business succession planning, probate, non-profit, startups, and corporate and business law. This is all I do and all I have ever done. I represent numerous individuals, families, family offices, and small to medium sized businesses. My areas of practice include the following:
- Estate Planning and Probate: Advising clients on estate planning, elder law, business succession planning, and related matters.
- Startups, Corporate Formation and Operations: Advising new business owners on all legal and regulatory aspects of starting a new business, forming corporations, limited liability companies, partnerships, joint ventures, and similar entities, mergers and acquisitions, dissolution and distribution from business entities, and advising clients on choice of entity issues.
- Contract Drafting and Negotiation all types of contracts for businesses, including supply contracts, master service agreements, purchase and sale agreements, employment agreements, and executive compensation agreements, and any other agreements that a business might need.
- Advising clients on various tax issues, tax planning, and similar matters. Forming and advising tax exempt entities, including obtaining and maintaining tax exempt status, and advising clients on tax issues unique to tax exempt entities (including prohibited transactions and unrelated business income issues).
- Representing clients in tax controversies before various taxing authorities and in court, including the Internal Revenue Service, United States Tax Court, the Alabama Department of Revenue, and local revenue departments.
